Exemptions

Exemption from rule 6(1) of the Code for:

• Oregon Group Limited (Oregon);
• each upstream person who has effective control over Oregon; and
• each person appointed by the trustees of the Porus Holdings Trust (the Trust) as a proxy to exercise the Trust’s voting rights in New Zealand King Salmon Investments Limited (NZK),

in respect of their increase in voting control of NZK that is a result of the voting deed entered into between Oregon and the Trust on or shortly after the date of the exemption notice, subject to conditions including approval of the voting control increase by non-associated shareholders of NZK.
