Trade Me Group Limited (Trade Me) proposed to undertake a Court-approved scheme of arrangement under Part 15 of the Companies Act 1993 to effect the acquisition of 100% of Trade Me’s shares by Titan AcquisitionCo New Zealand Limited (Titan). Titan was owned by Apax IX Fund, a fund advised by Apax Partners LLP. The consideration payable under the proposed scheme was NZD$6.45 cash per share.
Trade Me shareholders voted to approve the scheme on 3 April 2019. The High Court granted final orders approving the scheme on 16 April 2019.
