Sharesies Group Limited (Sharesies) proposed to allot voting securities to Richard Clark, Martyn Smith, Leighton Roberts, Brooke Roberts and Sonya Williams (the Founders) as part of a long-term employee incentive plan and a separate employee founder long-term incentive plan (the Allotments).
Because of the Founders’ existing shareholding and their potential association, the Allotments may have resulted in an increase of their percentage of holding or control of voting rights in a manner restricted by the Code.
Consequently, Sharesies sought shareholder approval for the Allotments under Rule 7(d) of the Code.
At an Annual Shareholders’ Meeting on 8 August 2025, Sharesies shareholders approved all resolutions relevant to the Allotments by the requisite Code thresholds.
Simmons Corporate Finance Limited prepared an independent adviser’s report under rule 18 of the Code on the merits of the Allotments.
