On 19 December 2024, Crown HoldCo Limited, an associate of TA Associates Management, L.P (TA Associates) entered into a scheme implementation agreement in relation to a scheme of arrangement (the Proposed Scheme) under which TA Associates would acquire 50% of the fully paid ordinary shares in CIP Holdings Limited (CIPH), the holding company for Craigs Investment Partners Limited (Craigs). The Proposed Scheme would involve TA Associates acquiring a 50% interest in the principal Craigs business.
On 19 March 2025 CIPH shareholders voted to approve the scheme. The High Court granted final orders on 9 April 2025 and the scheme was implemented on 30 April 2025.
Northington Partners Limited prepared the independent adviser’s report on the merits of the transaction.
